Resumen La Corte de Apelaciones de Talca, al revisar un recurso de queja presentado en contra de un laudo arbitral derivado de una demanda de disolución de una SRL, se pronuncia sobre la procedencia de aquella, fundada en la renuncia por “motivo grave” ante la mala gestión administrativa y la pérdida de la affectio societatis y la consecuente terminación de la compañía. En este contexto, la Corte revoca la sentencia arbitral, declara disuelta la sociedad, y en el afán de alcanzar dicho cometido, conceptualiza y se refiere a la naturaleza y lugar en la estructura societaria de la affectio societatis, atribuyéndole a su ausencia un carácter justificante para la renuncia del socio. Estas apreciaciones merecen realizar un análisis crítico que podría arribar en una conclusión distinta a la alcanzada por la Corte.
Abstract The Court of Appeals of Talca, when reviewing a complaint appeal filed against an arbitration judgement derived from a demand for dissolution of a LLC, decides on its admissibility, based on the resignation for “serious reason” in the face of administrative mismanagement and the loss of the affectio societatis and the consequent termination of the company. In this context, the Court revokes the arbitration judgment, declares the company dissolved, and in the effort to achieve this task, conceptualizes and refers to the nature and place in the corporate structure of the affectio societatis, attributing to its absence a justifying character for the resignation of the partner. These observations deserve a critical analysis that could lead to a diverse conclusion from that reached by the Court.
