The external acquisition of technology by entering into technology transfer agreements can be shown as an important source of innovation, allowing not only the purchaser of the technology but also the owner of the same make use of inherent in this practice benefits. However, in heterogeneous character of contracts is verified the presence of restrictive clauses and abusive character of practices, which requires greater state attention in the analysis and registration of contracts involving the transfer of technologies. By such reason, the present work aims to present the standards related to regulation of the restrictive clauses in Technology Contracts in Brazil, encompassing the regards Legislation to Industrial Property, the Normative Acts issued by INPI and provisions of TRIPS Agreement. Moreover, will be analyzed some judged on the topic in administrative and judicial instance. Finally, will be proposes a reflection in regarding the benefits of a greater or lesser state intervention in analysis and registration of Technology Transfer Contracts.
A aquisição externa de tecnologias através da celebração de Contratos de Transferência de Tecnologia pode se demonstrar como uma importante fonte de inovação, permitindo não só ao adquirente da tecnologia como também à parte detentora da mesma se valer dos benefícios inerentes a essa prática. Entretanto, em contratações de caráter heterogêneo, é verificada a presença de cláusulas restritivas e práticas de caráter abusivo, o que requer uma maior atenção do Estado no momento da análise e averbação dos Contratos envolvendo a transferência de tecnologias. Por tal razão, o presente trabalho tem como objetivo apresentar as normas relacionadas à regulação das cláusulas restritivas em Contratos de Tecnologia no Brasil, englobando a Legislação atinente à Propriedade Industrial, os Atos Normativos emitidos pelo INPI e disposições do Acordo TRIPS. Além disso, serão analisados alguns julgados sobre o tema em instância administrativa e judicial. Por fim, será proposta uma reflexão a respeito dos benefícios de uma maior ou menor intervenção do Estado na análise e averbação de Contratos de Transferência de Tecnologia.
