    Este trabajo indaga sobre la responsabilidad de los patronos de las fundaciones en el ejercicio de su cargo, es decir, la que pudiera dimanar por las decisiones y acuerdos que adoptan dentro del órgano de gestión y representación de las fundaciones, el Patronato. Describe, en primer lugar, las características del órgano, los deberes de diligencia y lealtad que los patronos deben cumplir y la naturaleza jurídica y el ámbito de una eventual responsabilidad. Por último, analiza los supuestos de responsabilidad bajo el criterio de frente a quién puede producirse: la propia fundación, el Protectorado de Fundaciones o terceros afectados por sus decisiones.

    This paper investigates the liability of the trustees of foundations in the exercise of their office, i.e., that which may arise from the decisions and agreements they adopt within the management and representation of the foundations, the board of trustees. It describes, firstly, the characteristics of the board, the duties of diligence and loyalty that the trustees must fulfill and the legal nature and scope of a possible liability. Finally, it analyzes the assumptions of liability under the criterion of against whom it may occur: the foundation itself, the Protectorado de Fundaciones or third parties affected by its decisions.
