    La Ley 5/2021, de 12 de abril de 2021, reguló por primera vez en España las acciones de leal-tad. Tras el primer apartado, que analiza la incorporación de la figura, en el segundo y tercer apartados se realiza el análisis del tratamiento mercantil realizado anteriormente en Francia e Italia, mientras que el cuarto se centra en el establecido en España. El apartado quinto desa-rrolla las motivaciones expresadas por las tres legislaciones para introducir esta figura. El sexto y séptimo apartados analizan, respectivamente, las ventajas y desventajas de la figura para emisores, inversores y sociedad en general. El apartado octavo incluye propuestas de mejora legislativa de la figura consecuencia del estudio realizado a lo largo del trabajo.

    Law 5/2021, of April 12, 2021, regulated loyalty shares for the first time in Spain. After the first section that analyzes the incorporation of the figure, the second and third sections analyze the treatment previously carried out in France and Italy, while the fourth focuses on that establis-hed in Spain. The fifth section develops the motivations expressed by the three legislations to introduce this figure. The sixth and seventh sections respectively analyze the advantages and disadvantages of the figure for issuers, investors and society in general. The eighth section includes proposals for legislative improvement of the figure as a result of the study carried out throughout the work.
