Este trabajo se ocupa de la inscripción de las sociedades civiles en el Registro Mercantil conforme a lo previsto en Ley 18/2022, en particular, desde el punto de vista de la identidad de sus socios. La reforma en este punto era probablemente innecesaria y suscita serias dudas al ampliar el contenido del Registro sin tener en cuanta las especialidades de las sociedades de personas mercantiles en materia de representación y responsabilidad de sus socios, o los tipos de hechos sobre los que se proyectan los principios registrales. El análisis crítico de esas dudas pretende reducir la confusión que la reforma puede generar en la práctica y aportar ideas al debate académico de cara a futuras intervenciones del legislador en la materia.

This paper deals with the registration of civil partnership in the Commercial Register as provided for by the Law 18/2022, in particular from the point of view of the identity of their partners. The reform on this point was probably unnecessary and raises serious doubts by expanding the content of the register without taking into account the specificities of commercial partnerships in terms of representation and liability of their partners, or the types of facts on which the registry principles are projected. The critical analysis of these doubts aims to reduce the confusion that the reform may create in practice and to contribute ideas to the academic debate with a view to future legislative interventions in this area.
