    El Real Decreto-ley 5/2023, de 28 de junio, deroga la Ley 3/2009, de 3 de abril, e introduce numerosas novedades en materia de modificaciones estructurales para, entre otras cuestiones, transponer la Directiva (UE) 2019/2121 del Parlamento Europeo y del Consejo, de 27 de noviembre de 2019, por la que se modifica la Directiva (UE) 2017/1132 en lo que atañe a las transformaciones, fusiones y escisiones transfronterizas.
