La concepción de persona jurídica: de la ficción legislativa a una respuesta de la realidad

    Este trabajo aborda la crisis conceptual de las “personas jurídicas”. El objetivo plantea la dificultad de independizar a estas entidades con una concepción que las distinga de los individuos humanos. Además, se busca argumentar que su existencia no depende de una ficción, sino al deber estatal de reconocerlas por ser producto de agrupaciones humanas y patrimoniales, formadas a partir de necesidades económicas y sociales. El enfoque metodológico empleado es cualitativo descriptivo, con lo cual se pretende verificar la dificultad conceptual existente sobre la persona jurídica, y el tratamiento legislativo dispar que se le ha otorgado en los países hispanos. Se concluye que el término persona jurídica no es específico, debido a que también evoca al individuo humano, lo que imposibilita establecer una definición válida a nivel doctrinario y legislativo, sobre todo porque los entes jurídicos no son consecuencia del Derecho, sino realidades previas a la norma que los regula.

    This research addresses the conceptual crisis of the “legal entities”. The objective is the difficulty of making them independent entities with a conception that distinguishes them from human individuals. Besides, the research debates its origins which is not due to a fiction, but rather to the state´s duty to recognize them as being the product of human and patrimonial groups formed from economic and social needs. The analysis is qualitative descriptive, to verify the existing conceptual difficulty regarding the legal entity and the disparate legislative treatment that has been granted to it in Hispanic countries. It is concluded that the term legal entity is not specific because it also evokes the human individual, which makes it impossible to establish a valid definition at the doctrinal and legislative level, especially because legal entities are not a consequence of Law but realities prior to the norm that regulates them.
