El RDL 5/2023 traspone la Directiva 2019/2021 sobre modificaciones estructurales transfronterizas estableciendo una regulación completa de estas operaciones, derogando la ley anterior. Aparecen importantes novedades. Algunas facilitarán estas operaciones, como la sustitución del derecho de oposición por un derecho a obtener garantías que no paraliza ni alarga el procedimiento, o la supresión del juicio sobre asistencia financiera en las fusiones apalancadas. Otras las van a dificultar, como el requisito de acreditar estar al corriente de obligaciones tributarias y de seguridad social. Muchas plantean dudas de interpretación, entre otras, la necesidad de informes de administradores o expertos, el régimen de las observaciones, las especialidades del acuerdo unánime y la solicitud de garantías por acreedores.

RDL 5/2023 transposes Directive 2019/2021 on cross-border structural modifications establishing a complete regulation of these operations, repealing the previous law. It introduces important new features. Some will facilitate these operations, such as the replacement of the right of opposition by a right to obtain guarantees that does not paralyse or lengthen the procedure, or the abolition of the financial assistance trial in leveraged mergers. Others will make them more difficult, such as the requirement to prove that tax and social security obligations have been met. Many raise doubts of interpretation, including the need for reports from administrators or experts, the regime of observations, the special features of unanimous agreement and the request for guarantees by creditors.
