    Compliance is a crucial issue for companies and governments around the world. This new instrument makes it possible to delegate, by compulsion, the prevention and detection of infringing behaviour to large companies. The stakes of compliance are numerous: to fight against infringement behaviours, to improve corporate governance, and to reduce sanctions and fines. In this article, we will study the role played by the US Department of Justice in structuring compliance. Recently, this structuring has evolved with the adoption of the Deputy Attorney General Lisa Monaco Memorandum. This text presents the new orientations that DOJ agents are invited to apply for the next few years. The purpose of this article is to provide the reader with an operational commentary on the reforms brought about by this new memorandum. As such, it aims to separate the risks and opportunities that this new text will inevitably generate.

    La compliance est un sujet crucial et transnational pour les sociétés et les gouvernements. Ce nouvel instrument permet de déléguer, par la contrainte, la prévention et la détection de comportements infractionnels aux grandes sociétés. Les enjeux de la compliance sont nombreux : lutter contre les comportements infractionnels, améliorer la gouvernance d’entreprise et réduire les sanctions et les amendes. Dans cet article, nous allons étudier le rôle joué par le Department of Justice américain dans la structuration de la compliance. Récemment, cette structuration a connu une évolution avec l’adoption du mémorandum du sous-procureur Lisa Monaco. Ce texte présente les nouvelles orientations que les agents du DOJ sont invités à appliquer pour les prochaines années. Cet article a pour objectif d’offrir au lecteur un commentaire opérationnel des réformes apportées par ce nouveau mémorandum. À ce titre, il vise à départager la part de risques et d’opportunités que ce nouveau texte ne manquera pas d’engendrer.
