Du champ syndical au champ du pouvoir: Les administrateurs salariés peuvent-ils réellement transformer la gouvernance des entreprises ?

    This study questions the transformative potential of the employee directors (ED) on corporate governance by examining the sociological mechanisms that shape this dispositive. The study is based on 11 semi-structured interviews conducted during the year 2021 with ED of large French companies. Our results, informed by the Bourdieu's concepts of "field" and "capital", show that entering the field of power generates a high entry cost for the ED, (acquisition of a new language, break with the trade union field). Occupying a position of "dominant-dominated" within this new field, the ED are forced to adopt the codes of the dominant actors. A struggle within the field then appears between the EDs who act, despite everything, to have an effect in the field and the other administrators who put in place actions to avoid a reconfiguration of the field by the EDs.

    Cette étude questionne le potentiel transformatif du dispositif d’administrateurs salariés (AS) sur la gouvernance des entreprises en examinant les mécanismes sociologiques à l’oeuvre dans ce dispositif. L’étude repose sur 11 entretiens semi-directifs menés en 2021 auprès d’AS de grandes entreprises françaises. Les résultats, éclairés par les concepts bourdieusiens, montrent que l’arrivée dans le champ du pouvoir génère un coût d’entrée élevé pour les AS. Occupant une position de « dominants-dominés » dans ce nouveau champ, les AS sont contraints d’adopter les codes des acteurs dominants. Une lutte apparaît alors entre des AS qui agissent, malgré tout, pour avoir un effet dans le champ et les autres administrateurs qui mettent en place des actions pour éviter une reconfiguration du champ.
