    Großunternehmen spielen bei der Eindämmung der Auswirkungen des Klimawandels eine entscheidende Rolle. Daher bezieht auch das Gesellschaftsrecht zunehmend Nachhaltigkeitsbelange mit ein. Nachdem dieser Trend zuletzt vor allem durch ein Fortschreiten der Nachhaltigkeitsberichterstattung und der Climate Litigation zu beobachten war, avanciert inzwischen die Unternehmensorganisation zu einer „nachhaltigen Corporate Governance“. Der Beitrag untersucht die dahingehenden legislativen Entwicklungen, die in diesem Jahr durch den Entwurf einer Corporate Sustainability Due Diligence Directive und die reformierte Fassung des Deutschen Corporate Governance Kodex an Fahrt aufgenommen haben. Wir zeigen, dass Nachhaltigkeitsbelange sich nunmehr auf allen Ebenen der Gesellschaft manifestieren.

    Large corporations play a decisive role in the battle against the impacts of climate change – and given its acuteness, their contribution is crucial. Consequently, sustainability has become one of the most discussed topics in corporate law. Following recent trends in climate reporting and climate litigation, we are now moving towards a “sustainable corporate governance”. This article sheds light on the steps which EU and German corporate law are taking in this direction, namely through this year’s Corporate Sustainability Due Diligence Directive proposal and through a reform of the German Corporate Governance Code. We show that ESG matters are now manifesting on all levels of the corporation. In the future, we expect to see an increasing number of shareholder suits against directors, a shift towards climate-sensitive executive pay, and a rise of shareholder activism (“say on climate”).
