Uno de los instrumentos contemplados por la Ley para hacer frente a los riesgos planteados por las operaciones vinculadas de las sociedades cotizadas es la elaboración, por la comisión de auditoría u otra de idéntica composición, de un informe sobre la justicia y la razonabilidad de la operación desde el punto de vista de la sociedad y desde el punto de vista de los socios no vinculados. La regulación de este informe presenta importantes problemas interpretativos. En el presente trabajo se estudian los más relevantes: las funciones del informe, el órgano competente para su elaboración y los sujetos que pueden participar ella, el contenido del informe y su eficacia.
One of the instruments envisaged by law to deal with the risks posed by related-party transactions of listed companies is the preparation, by the audit committee or another committee of identical composition, of a report on the fairness and reasonableness of the transaction from the perspective of the company and of the shareholders who are not a related party. The regulation of said report entails important interpretative problems. This paper studies the most relevant ones: the functions of the report, the competent body for its preparation and the parties that may participate in it, the content of the report and its effectiveness.
