El legislador europeo pretende que en todos los Estados miembros se ofrezca la posibilidad de que el fundador pueda constituir una sociedad en línea sin aportar documentos y garantizando la exactitud de las operaciones, pero sin que sea necesario que se persone físicamentre ante ninguna autoridad pública. Para ello, establecerá medidas de control de la identificación de los solicitantes (videoconferencia más identidad electrónica de los socios), su capacidad jurídica (entrevista a fin de comprobar que está entendiendo para qué está prestando consentimiento) así como la autenticidad de la representación legal de la sociedad que ostente.
Con este marco normativo europeo, el legislador estatal ha de fijarse en lo realizado en otros ordenamientos jurídicos de nuestro entorno para transponer la Directiva, con un doble objetivo: de una parte, garantizar el mantenimiento del sistema actual ya que aporta un alto nivel de seguridad jurídica, no dejando la constitución de sociedades exclusivamente telemática sin intervención notarial.
De otra parte, acertar en la elección de los instrumentos tecnológicos que permitan la constitución en línea y garanticen seguridad, mediante la intervención del notario para cumplir todas las funciones atribuidas a esta figura por la ley en la fase constitutiva de cualquier sociedad.

The European legislator intends to provide in all Member States the possibility for the founder to set up an online company without providing documents and guaranteeing the accuracy of the transactions, but without having to appear in person before any public authority. To this end, it will establish measures to control the identification of applicants (videoconferencing plus electronic identity of the partners), their legal capacity (interview to check that they understand what they are consenting to) and the authenticity of their legal representation of the company.
With this European regulatory framework, the state legislator has to look at what has been done in other legal systems in our environment to transpose the Directive, with a twofold objective: on the one hand, to guarantee the maintenance of the current system, as it provides a high level of legal security, not leaving the incorporation of companies exclusively telematic without notarial intervention. On the other hand, to choose the right technological instruments to enable online incorporation and guarantee security, through the intervention of the notary to fulfil all the functions attributed to this figure by law in the incorporation phase of any company.
