  The present work addresses the issue of sanctions for non-compliance with the duty of loyalty by the directors of public corporation. The aim was to analyze, fundamentally, the relationship between the obligation to indemnity the damages caused to the companies property and that of restoring to the administered company the unjust enrichment obtained by the administrator. In this context, it was questioned whether the legitimacy to invoke this last institute is compatible, subsidiary or complementary to that of compensation for losses and damages. The scope of analysis concerns the Spanish and Portuguese legal systems, concluding that, despite presenting different options in terms of positive and systematic character on the subject, there is a substantial similarity, rather than identity, with regard to the concrete consequences that result from the interpretation that as a whole is made of the respective legal norms.

  Aborda o presente trabalho a questão das sanções previstas para o incumprimento do dever de lealdade por parte dos administradores de sociedades de capital. Procurou-se analisar, fundamentalmente, a relação entre a obrigação de indemnizar os danos causados ao património social e a de restituir à sociedade administrada o enriquecimento injusto ou sem causa obtido pelo administrador. Neste contexto, questionou-se se a legitimidade para invocar este último instituto é compatível, subsidiária ou complementar relativamente ao de indemnização por perdas e danos. O âmbito de análise respeita aos ordenamentos jurídicos espanhol e português, concluindo-se que, não obstante apresentem diferentes opções em sede de direito positivo e de caráter sistemático acerca do assunto, verifica-se uma semelhança, que não identidade, no que diz respeito às consequências concretas que decorrem da interpretação que no seu conjunto se faz das respetivas normas legais.
