Resumen de Régimen jurídico de los tokens no fungibles (NFT). Breve referencia a su posible consideración como valores negociables

Los tokens no fungibles (o NFT), con permiso del Metaverso, son la última conquista del mundo cripto. La idea que suele tenerse es que, con su adquisición, se adquiere el derecho de propiedad sobre un determinado bien, ya sea físico o digital. Desde el inicio de la ola de los NFT, allá por 2021, se han lanzado bajo dicho estándar desde coleccionables a portadas de revistas y obras de arte, pasando por tweets del propio CEO de Twitter. A través de las siguientes líneas, se pretende dar un enfoque global sobre, en su caso, los derechos subyacentes a la adquisición de los NFT, sus atributos y al fenómeno de la tokenización, en general, teniendo en cuenta la legislación aplicable, así como, en particular, la Propuesta de Reglamento MiCA y la Circular sobre publicidad de criptoactivos de la Comisión Nacional del Mercado Valores. Por último, se realizará un breve apunte sobre su posible consideración como valores negociables a la luz de sus características intrínsecas.

The Non-Fungible Tokens (or NFT), with the Metaverse permission, are the last conquest of the crypto world. The idea usually is that, with it acquisition, the property right of a physical or digital good is acquired. Since the beginning of the NFT wave, in 2021, under this estándar, collectibles, magazine covers and tweets from the CEO of Twitter himself, have been launched. Through the following lines of text, it’s intended to give a global approach about the underlying rights of the acquisition of the NFT and their attributes and of the tokenisation in general, considering the applicable law, in particular the proposal for a Regulation Mica and the circular about the advertising of crypto assets of the Securities Market Annual Report. Finally, there shall be a brief note about the possible consideration as securities in light of their intrinsic characteristics.
