La Sentencia de la Audiencia Provincial de Murcia 299/2021, de 18 de marzo de 2021 aborda un aspecto con trascendencia procesal y sustantiva relacionado con la interacción entre el concurso y las modificaciones estructurales. Concretamente, el punto central sobre el que se pronuncia es acerca del efecto que respecto al procedimiento concursal tiene la fusión por absorción de la sociedad concursada que se realiza después de la aprobación de un convenio. El tribunal desarrolla un prolijo análisis de las cuestiones concretas involucradas: la eventual conclusión del proceso, el alcance de la sucesión procesal y los efectos del incumplimiento del convenio. Respecto a este último punto, y en lo que constituye el aspecto central de la Sentencia, el tribunal concluye que el proceso concursa! debe continuar abierto a los efectos de una eventual reapertura de la sección de calificación, que cabría tramitar frente a la sociedad absorbente y otros posibles demandados (sujetos que puedan verse afectados por la calificación). The Judgment of the Provincial Court of Murcia 299/2021, of March 18, 2021 deals with a matter of procedural and substantive significance with connection with the interaction between the bankruptcy and a merger involving the bankrupt entity. The key issue decided by the court is the effect on the bankruptcy proceeding of a merger concluded by the bankrupt entíty after the approval of a statutory agreement with the group of creditors within the framework of such proceeding. The court carries out a detailed analysis of the specific issues involved: the termination of the bankruptcy proceeding, the scope of the procedural succession and the effects of an eventual breach of the agreement. Regarding this latest matter the court concluded that the bankruptcy proceeding should not be brought to an end and shall remain in force so as to allow an eventual assessment of liability of the persons related to the management of the bankrupt entity should the agreement reached in the course of the proceeding is not duly fulfilled. In this commentary we provide a critica] analysis of the Judgment.
