El convenio concursal en el proyecto de ley de reforma del Texto Refundido de la Ley Concursal: el soliloquio de Segismundo

    El pasado 14 de enero de 2022 se publicó en el Boletín Oficial de las Cortes Generales (Congreso de los Diputados) el proyecto de ley de reforma del Texto Refundido de la Ley Concursal, tras la aprobación del anteproyecto en segunda ronda en la reunión del Consejo de Ministros del Gobierno de España de 21 de diciembre de 2021. El proyecto dado a conocer no difiere significativamente de la versión original del anteproyecto. En materia de convenio concursal se han introducido algunas innovaciones relevantes en aspectos tales como las causas de oposición a la aprobación de la propuesta de convenio, con la introducción de la regla best interest of creditors test. El proyecto opta por la supresión de la junta de acreedores y de la propuesta anticipada de convenio.

    On January 14th, 2022, the project to reform the consolidated text of the Spanish Bankruptcy Law was published in the Official Gazette of the Cortes Generales (Congress of Deputies), after the approval of the draft in the second round at the meeting of the Council of Ministers of the Government of Spain on December 21st, 2021. The project released does not differ significantly from the original version of the preliminary draft. However, in the area of bankruptcy agreement, some relevant innovations have been introduced in aspects such as the grounds for opposition to the approval of the proposed agreement, the introduction of the best interest rule of creditors test. The project opts for the elimination of the creditors» meeting and the advance proposal of agreement.
