La prenda de créditos figura en la Ley Concursal como un derecho real de garantía que confiere privilegio especial a su titular. La cosa no es tan evidente si el crédito o créditos tienen su fuente en una relación bilateral no consumada. Especialmente, es relevante el problema para determinar el valor razonable de la garantía a efectos del pago al acreedor cuando los créditos se venden como una unidad productiva.
Pursuant to the Insolvency Law, the pledge/charge/security assignment of monetary claims confers the secured creditor an absolute priority over this immaterial asset. However, it is arduous to determine in advance the "reasonable value" of this security right, where the claim flows from a bilateral contract with third party, the contract is still open, the pledgor has still to comply its contractual duty and the parties to the contract and the insolvency trustee are not marginally entitled to take actions to put the contract to an end.
