Resumen de La celebración de juntas exclusivamente telemáticas tras la reforma de la Ley de Sociedades de Capital

La Ley 5/2021 de 12 de abril por la que se modifica el Texto Refundido de la Ley de sociedades de capital y otras normas financieras en lo que respecta al fomento de la implicación a largo plazo de los accionistas en sociedades cotizadas ha reconocido la posibilidad de celebración de juntas exclusivamente telemáticas en las sociedades de capital a través de la introducción del artículo 182 bis. En este trabajo nos ocupamos de analizar las cuestiones más destacadas de la nueva regulación, especialmente la necesidad de previsión estatutaria para poder celebrar este tipo de juntas y las condiciones que deben darse para su convocatoria y celebración con objeto de garantizar el ejercicio de los derechos por parte de los socios. Todo esto, sin olvidar que la evolución de la tecnología ya está jugando un papel destacado en la celebración de estas juntas.

The Act 5/2021 dated 12 April, which modifies the consolidated text of the corporate enterprises act and other financial regulations regarding the encouragement of the long-term shareholder engagement in listed companies has recognized the possibility of holding exclusively telematic meetings in corporate enterprises through the introduction of article 182 bis. In this work we analyse the most outstanding issues of the new regulation, in particular, the need for a statutory provision to be able to hold this type of meetings and the conditions that must be met for their covering and holding in order to guarantee the exercise of the rights by the shareholders. All this, without forgetting that the evolution of technology is already playing a prominent role in the holding of these meetings.
