Las acciones y participaciones de las sociedades mercantiles son elementales para comprender la organización de una sociedad, así como también la situación en queda la misma respecto de aquel socio que decide separarse. Estos dos aspectos son los que servirán para comprender el porqué de realizar esta investigación. Analizaré el derecho de separación y sus suspensiones incluyendo la última reciente sufrida con la situación excepcional de la pandemia mundial ocasionada por el SARS CoV-2 manifestada por la bacteria COVID-19 (Coronavirus). De igual modo observaré los principales mecanismos de valoración y trataré de buscar una solución acerca de realizar una valoración de acciones y participaciones acertada y justa conforme al derecho de separación del socio que evite perjudicar tanto al socio como a la sociedad.

The shares of commercial companies are elementary to understand the organization of a company, as well as the situation remains the same with respect to the partner that decides to separate. These two aspects will serve to understand why this research should be carried out. I will analyze the right of separation and its suspensions including the last recent one suffered with the exceptional situation of the global pandemic caused by SARS CoV-2 manifested by the bacterium COVID-19 (Coronavirus). In the same way, I will observe the main valuation mechanisms and I will try to find a solution about carrying out a correct and fair valuation of shares and participations in accordance with the right of separation of the partner that avoids harming both the partner and the society.
