    El deber de lealtad impone a los administradores la obligación de desempeñar el cargo con la lealtad de un fiel representante, obrando de buena fe y en el mejor interés de la sociedad. A partir de ahí, se han establecido una serie de obligaciones básicas del propio deber de lealtad, además del deber de evitar situaciones de conflictos de interés. Todo ello, bajo un régi-men imperativo, salvo en algunas opciones de dispensa. Este marco legal tan amplio ha moti-vado que las normas específicas de la ordenación de las entidades de crédito y de las entidades aseguradoras no recogen de forma concreta contenido alguno del deber de lealtad de los consejeros. Por último, el incumplimiento del deber de lealtad, en el marco del gobierno cor-porativo, motiva un régimen de responsabilidad general y específico en este tipo de entidades.

    The duty of loyalty imposes upon the administrators the obligation to carry out the charge with the loyalty of a faithful representative, working in good faith and in the best interest of the society. From there, a series of basic obligations of the duty of loyalty have been established in addition to the duty to avoid situations of conflicts of interest. All this, under an imperative regime, except for some waiver options. This broad legal framework has meant that the specific regulations governing the organization of credit institutions and insurance companies do not specifically contain any content of the directors’ duty of loyalty. Finally, the breach of the duty of loyalty, within the framework of corporate governance, motivates a regime of general and specific responsibility in this type of entity.
