    The article analyses the evolution of Listed Corporations both in the American and in the European legal systems. Specifically, it focuses on the evolution from a mere Shareholders' value perspective to a broader one which includes the goal of Shareholders' long-term view and the consideration for Stakeholders' interests. The author examines the evolution of the EU Shareholders' Rights Directives, the development of Self-regulatory Codes, the role of proxy advisors and the institutional investors' strategies, with a short reference to the Human Centered Business Model proposed by the World Bank. He underlines the consequences of this process on Corporate interest theories, especially towards a neo-institutional perspective and puts forwards some proposals in order to stimulate the involvement of institutional investors in shareholders' meetings. He closes hoping that the challenge for a new governance extended from profit to social an environmental sustainability could be successful.
