Resumen de Reestructuración y reorganización societaria del negocio de TI de Grupo Indra

  Grupo Indra ha llevado a cabo durante el ejercicio 2018 un proceso global de reestructuración y reorganización societaria de las distintas unidades económicas que conforman su negocio de TI mediante la filialización, bajo una sociedad holding propiedad de Indra Sistemas, de todas las sociedades y unidades económicas de Grupo Indra que desarrollan el negocio de TI. Las operaciones societarias del proceso de filialización y reorganización del negocio de TI se han realizado en dos fases: (i) en una primera fase se ha segregado el negocio de TI desarrollado directamente por la sociedad cotizada Indra Sistemas; se han fusionado cinco sociedad filiales al 100%, filial al 100% de Indra Sistemas; y (ii) en una segunda fase se han realizado diversas aportaciones no dinerarias de participaciones accionariales de el negocio de TI; esta segunda fase culminará con la filialización, bajo la sociedad holding antes referida, del negocio nacional e internacional de TI de Grupo Indra.

  Indra Group carried out in 2018 a global restructuring and corporate reorganisation process in relation to the different economic units of its IT business, through the subsidiarisation to a holding company owned by Indra Sistemas of all the IT companies and economic units in Indra Group. The corporate transactions relating to the subsidiarisation and reorganisation process of the IT business were carried out in two phases: (i) firstly, the segregated, four companies, directly or indirectly wholly owned by Indra Sistemas, were merged, and another company wholly owned by Indra Sistemas was demerged by means of a total spin-off; and (ii) in the second phase, several non-monetary contributions of shares owned by Indra Group in both Spanish and foreign IT business entities were carried out. This second phase will conclude with the subsidiarisation of the national and international IT business of Indra Group to the abovementioned holdings company.
