Resumen de Transmisión de una participación mayoritaria en el negocio inmobiliario en España de una entidad financiera

  Operación consistente en la transmisión a favor de un inversor extranjero de una participación mayoritaria en el negocio inmobiliario en España de una entidad financiera. La operación se instrumentalizó a partir de un contrato de inversión en el que se regulaban los pasos a seguir por las partes para la implementación de dicha transmisión. Con carácter simultáneo a la transmisión de la participación mayoritaria, las partes suscribieron un contrato de accionistas para regular la coinversión durante la existencia de la empresa conjunta. La transmisión del referido negocio supuso la aportación previa por parte de la entidad bancaria de determinados medios humanos y materiales, así como de un volumen para canalizar la participación conjunta de la entidad bancaria y del inversor en el negocio inmobiliario. La implementación de la operación estaba condicionada a la obtención de las autorizaciones por parte del Ministerio de Economía y de la Dirección General de Competencia de la Unión Europea.

  Transaction consisting in the transfer in favour of a foreign investor of a majority share in the real estate business in Spain of a credit institution. The transaction was implemented through an investment agreement which regulated the steps to be carried out in order to complete the transaction. Simultaneously to the transfer of the majority share, the parties entered into a shareholders' agreement in order to regulate the con-investment duringn the existence of the joint venture. The transfer of such buisness gave rise to the prior contribution by the credit institution of certain human and material means as well as a large volume of real estate assets into a company which was configured as the vehicle to funnel the joint participation of the credit institution and the onvestor in the real estate business. The implementation of the transaction was conditioned to the granting of the authorizations by the Spanisg Ministry of Economy and the Directorate General of Competition for the European Union.
