En este artículo analizaremos dos aspectos novedosos que surgieron en relación con el folleto informativo registrado para una operación de salida a Bolsa de una sociedad anónima española. En primer lugar, nos centraremos en ciertas peculiaridades que tuvo la operación derivadas de sus estructuración como una oferta de venta destinada tanto a inversores cualificados como a empleados del emisor sin configuración de un tramo minorista, tales como, entre otras, la previsión de un sistema de fijación del precio para el tramo de empleados distinto al del tramo destinado a inversores cualificados, la falta de aseguramiento de las acciones ofrecidas a los empleados del emisor por parte del sindicato de bancos aseguradores o la ausencia de prorrateo para la asignación de acciones. En segundo lugar, nos referiremos a los informes realizados por terceros independientes para su uso o inclusión en el folleto informativo, ya sea decisión voluntaria del emisor para sustentar una sección del folleto informativo o en cumplimiento de las recomendaciones de la European Securities and Markets Authority, y las distintas implicaciones que su distinta calificación jurídica tiene a efectos de la responsabilidad del tercero independiente por el folleto informativo.
This article analyses two innovative aspects which arose in relation to the prospectus registered for an initial public offering of a Spanish public limited liability company. Firstly, we will focus on certain special features of the transaction derived from its structuring as an offering addressed to institutional investors as well as to employees of the issuer without providing for a retail tranche, such as, among others, the provision of a price-fixing system for the employees tranche different from that of the institutional investors, the lack of underwriting of the shares offered to employees of the issuer by the banks members of the syndicate of underwriters or the absence of assignment on a pro-rata basis (prorrateo) for the assignment of shares. Secondly, we will make reference to the reports drafted by independent third parties for their use or inclusion in the prospectus, either due to a voluntary decision of the issuer to support a particular section of the prospectus or in compliance with the recommendations of the European Securities and Markets Authority, and the different consequences that their different legal classification may have in relation to the responsability of the independent third party for the prospectus.
