Resumen de ¿Fue alguna vez la cooperativa una sociedad por acciones?: Leyes de negocios y de cooperativas en España (1869-1931).

  Las investigaciones sobre cooperativismo en España sitúan su difusión a partir de la Ley de Sindicatos Agrícolas de 1906. Sin embargo, las cooperativas aparecen en la legislación por primera vez en la Ley de Libertad de Creación de Sociedades Anónimas y de Crédito (1869), con un planteamiento cercano al de las sociedades por acciones.

  En las décadas posteriores el carácter mercantil de las cooperativas se irá diluyendo hasta que en 1931 aparece la primera ley general de cooperativas. En este artículo analizamos las implicaciones de que la cooperativa fuese legalmente una figura cercana a la sociedad mercantil, analizando puntos fundamentales como la libertad de contratación y de asociación, formación del capital por acciones, o la responsabilidad de los socios.

  Studies of Spanish cooperatives locate their spread from the Law on Agrarian Syndicates of 1906. But the first legislative appearance of cooperatives is an 1869 measure that permitted general incorporation for lending companies. The 1931 general law on cooperatives, which was the first measure permitting the formation of cooperatives in any activity, reflects the gradual disappearance of the cooperative’s mercantile characteristics. In this paper we trace the Spanish cooperative’s legal roots in business law, and its connections to broader questions of the freedom of association, the formation of joint‐stock enterprises, and the liability of investors in business and cooperative entities.
