    Con la entrada de la LO 5/2010, el artículo 31 bis del CP y con la posterior entrada en vigor de la LO 1/2015, última reforma del Código Penal (Art. 31 bis 1 CP), se atribuye a las personas jurídicas, la responsabilidad penal directa e independiente respecto de sus propios administradores o directivos de la sociedad.

    En el presente artículo, se analizará entre otros aspectos, la consideración como sujetos activos de delitos a las entidades colaboradoras con la Seguridad Social, asi como el estudio de la responsabilidad penal directa e independiente de éstas, respecto de sus propios administradores o directivos. Para ello habrá que realizar un estudio sobre su naturaleza y su encueadramiento como sujeto activo de delitos al ser consideradas como “asociaciones privadas de empresarios sin ánimo de lucro creadas para colaborar con la Seguridad Social en la gestión de ciertas prestaciones de carácter económico y asistencia sanitaria”.

    With the entry of LO 5/2010, article 31 bis of the CP and with the subsequent entry into force of LO 1/2015, the last reform of the Penal Code (Art. 31 bis 1 CP), is attributed to legal persons, direct and independent criminal liability with respect to their own administrators or directors of the company.

    In this article, among other aspects, the consideration as active subjects of crimes to entities collaborating with Social Security, as well as the study of direct and independent criminal liability of these, with respect to their own administrators or managers, will be analyzed. For this, it will be necessary to carry out a study on its nature and its listing as an active subject of crimes, as they are considered as "private associations of non-profit entrepreneurs created to collaborate with Social Security in the management of certain benefits of an economic nature and healthcare".
