    Principio básico de nuestro Derecho en la regulación de la retribución de los administradores sociales es el de exigencia de constancia estatutaria de la remuneración. Partiendo de dicha reserva estatutaria, se plantea la cuestión de cuál es el ámbito subjetivo de dicho principio. ¿Comprende a los consejeros delegados o a los que se les haya atribuido funciones ejecutivas por otro título? ¿Es suficiente con que la remuneración de tales consejeros conste en el contrato al que se refiere el artículo 249.3 y 4 de la Ley de Sociedades de Capital (en adelante, LSC)? ¿Está sujeta dicha remuneración al límite anual fijado por la Junta para el conjunto de los administradores, de acuerdo con lo que dispone el artículo 217.3 LSC? Todas estas cuestiones serán analizadas al hilo del comentario de la Sentencia n.º 98/2018 del Tribunal Supremo, Sala Primera, de 26 de febrero de 2018 (LA LEY 3397/2018).

    Basic principle of our Law in the regulation of the remuneration of the social administrators is the one of requirement of statutory constancy of the remuneration. Starting from said statutory reserve, the question arises as to which is the subjective scope of said principle. Does it include the CEOs or those who have been entrusted with executive functions by another title? Is it sufficient for the remuneration of such directors to be included in the contract referred to in article 249.3 and 4 of the Capital Companies Law (hereinafter, LSC)? Is said remuneration subject to the annual limit set by the General Meeting for all administrators, in accordance with the provisions of article 217.3 LSC ?. All these issues will be analyzed in the light of the comment of Sentence No. 98/2018 of the Supreme Court, First Chamber, of February26, 2018 (LA LEY 3397/2018).
