The prohibition of financial assistance, forged at the dawn of the twentieth century, has suffered throughout the European area, a trend of easing. This trend came to be consecrated in 2006 by the Community legislature. However, in Portugal remains the absolute prohibition of financial assistance. At first we analyse thus the relevance of this regime today. Secondly we examine the case of LBO. Operations that use this companies’ acquisition technique reveal an economic relevance that should not be ignored. However, the doctrine has not observed, with due attention, the LBO. We propose to explain in short term, the main aspects of how to assemble the operation. Finally we treat the question of whether this is a valid operation in the light of Portuguese law.

A proibição de assistência financeira, forjada no dealbar do século XX, vem sofrendo, por todo o espaço europeu, uma tendência de flexibilização. Esta tendência veio a ser consagrada em 2006 pelo legislador comunitário. No entanto, em Portugal mantém-se a proibição absoluta da assistência financeira. Num primeiro momento analisamos, assim, a pertinência deste regime atualmente. Num segundo momento examinamos o caso concreto do LBO. As operações que recorrem a esta técnica de aquisição de empresas relevam um peso económico que não deve ser ignorado. Contudo, a doutrina não se tem debruçado, com a atenção devida, no LBO. Propomos explicar, em breve trecho, os principais aspetos de como se monta a operação. Por último, tratamos a questão de saber se esta é uma operação válida à luz do ordenamento jurídico português
