Resumen de Delimitación del concepto de incentivos en la MiFID II, con especial referencia a la nueva regulación del servicio de inversión de colocación de instrumentos financieros

El presente trabajo señala las principales modificaciones introducida por MiFID II en materia de incentivos, en particular en cuanto a la consideración como tales incentivos los relacionados con terceros que no sean clientes y la nueva regulación del servicio de inversión de colocación de valores mobiliarios e instrumentos financieros. Se destaca, fundamentalmente, la actuación simultánea de las empresas de servicios de inversión ante clientes inversores y emisores, las previsiones especiales referidas a incentivos en caso de «organización de una emisión», los supuestos de incentivos considerados «inadmisibles» y las medidas para prevenir conflictos de interés fruto de dicha actuación simultánea. Se concluye que los honorarios percibidos por la entidad colocadora, satisfechos por cliente emisor en pago estricto del servicio de colocación, no son incentivos.

The aim of this paper is to inform about the main amendments introduced by the MiFID II with respect to inducements, specifically those related to third parties which are not clients and new regulation of the placement investment service. Concerning the new regulation of the placement investment service of transferable securities and financial instruments, it is mainly highlighted the simultaneous action by the investment firm before investor-customers and issuers; the special provisions on the inducements in the «organization of an issuance»; the inducements which are deemed to be «inadmissible» and the measures to prevent conflict of interest as a result of such simultaneous action. It is concluded that those fees charged by the placement entity, and paid by the issuer-customer strictly for the placement service, are not considered as being inducements.
