Resumen de Die GmbH im europäischen Wettbewerb der Rechtsformen

  In den 125 Jahren seit ihrer Einführung im Jahre 1892 hat die deutsche GmbH einerseits einen Siegeszug um die ganze Welt angetreten und musste sich andererseits im eigenen Heimatland der scharfen Konkurrenz der englischen Limited erwehren. Dieser Wettbewerb setzte im Internationalen Gesellschaftsrecht einen Wechsel von der Sitz- zur Gründungstheorie voraus. Seine negativen Auswirkungen lassen sich, wie die jüngere EuGH-Rechtsprechung zeigt, durch eine am Sachproblem orientierte Anwendung inländischer Drittschutzregeln zielgerichtet eingrenzen. Im europäischen Ideenwettbewerb ist das deutsche GmbH-Recht derweil deutlich zurückgefallen. Das liegt weniger an der vermeintlichen Dominanz des englischen Rechts als am Ideenreichtum der kleineren EU-Staaten, denen es mit gut durchdachten Reformprojekten gelingt, international Aufmerksamkeit auf sich zu ziehen.

  Since its introduction 125 years ago, the German Private Company (“GmbH”) has been a success story and has served as a model for company law reform all over the world. In its country of origin, however, the GmbH faced fierce competition by the English Private Company Limited by Shares (“Limited”). This has been made possible by a change in the field of International Company Law from the real seat theory to the incorporation theory. The competition of company forms incorporated in other EU Member States has negative side effects; they can – based on recent judgments of the European Court of Justice (ECJ) – be contained by mandatory rules protecting stakeholder interests in the state where the company carries out its main activity. Meanwhile, the German GmbH, in terms of serving as a model for foreign and European legislation, has considerably lost ground. This is mainly not attributable to the prevalence of English company law. It is rather due to the legislative ambitions of smaller European Member States which have introduced thoughtful reforms and thereby successfully inspired the international debate.
