    A major part of Peter Hommelhoff’s academic work is dedicated to the idea of developing European rules for corporate groups and to introducing a European Private Company (Societas Privata Europaea – SPE). Despite the fact that both of them turned out to be rather challenging topics in terms of convincing 28 EU Member States, he has always stayed on track. In academic life, winding roads may even lead to better results and create new insights. Having that in mind the author of the following article honours the academic work of Peter Hommelhoff by arguing in favour of a supranational legal entity that should serve cross-border corporate groups in the common market. The concept of such a legal entity draws on the experience and knowledge resulting from the discussions about corporate groups in Europe and about the SPE.

    Die europäische Konzernorganisation und die „Europa GmbH“ (SPE) bilden zwei wichtige Forschungsschwerpunkte im Werk von Peter Hommelhoff. Beide Projekte haben sich über die Jahre als außerordentlich dicke Bretter erwiesen. Doch davon lässt sich der Jubilar nicht beirren. Rückschläge und Umwege gehören in der Wissenschaft zum kollektiven Lernprozess, der neue Erkenntnisse bringt. Ganz in diesem Sinne münden die Erfahrungen aus der Diskussion um ein europäisches Konzernrecht und um die SPE im vorliegenden Beitrag in die Konzeption eines supranationalen Konzernbausteins für europäische Unternehmensgruppen.
