En la LNM, la validez de la cláusula de jurisdicción extranjera o arbitraje en el extranjero depende de su negociación individual y separada. Es una pretensión tuitiva hacia el cargador o contratante marítimo español. No obstante, este formalismo excesivo no entorpece la práctica del comercio marítimo internacional en aquellos casos sometidos a la regulación europea y a los convenios internacionales, donde la validez está fuera de toda duda, en base a los requisitos formales a partir de los cuales se puede inferir con flexibilidad la existencia del consentimiento de las partes. En la LNM se determina la oponibilidad de aquella cláusula incluida en un conocimiento de embarque frente al tercero adquirente del mismo cuando sea consentida individual y separadamente. Nuevamente, este formalismo excesivo es criticable, al desvirtuar los requisitos formales establecidos por la regulación europea e internacional en garantía de la realidad del consentimiento de las partes en un acuerdo atributivo de competencia.
