Resumen de GEDIP'S Proposal on the Law Applicable to Companies

• This contribution offers an introduction to the Proposal on the Law Applicable to Companies prepared by the European Group for Private International Law (GEDIP) and describes the rationale of its main provisions. After a general introduction to international Company Law, it summarises the ECJ case law on this issue (Centros et al), identifies the core provisions of the Proposal and the policy decisions underpinning them - in particular, the option in favour of the Incorporation Theory as a main rule -, and finally contains a succint article-by-article commentary.
