    This article deals with the international jurisdiction in company-related cross-border litigation.

    It examines the Council Regulation (EC) No. 44/2001 of 22 December 2000 on jurisdiction in civil and commercial matters under the aspect of proceedings between the company on the one hand and shareholders residing abroad on the other hand. According to the general jurisdiction principle in Art. 2, the respondent shall be sued in the courts of the Member State that he is a resident of. However, there are important exceptions in favour of the plaintiff in Art. 5 Nr. 1 (special jurisdiction at the place of performance of the contractual obligation in question) and Art. 22 Nr. 2 (exclusive jurisdiction in proceedings which deal with the validity of the constitution, the nullity or the dissolution of companies, or the validity of the decisions of their organs).

    Bei internationaler Gesellschafterstruktur weisen mitgliedschaftsbezogene Streitigkeiten zwischen der Gesellschaft und ihren Gesellschaftern regelmäßig einen grenzüberschreitenden Bezug auf. Dadurch ist die virulente Frage nach dem internationalen Gerichtsstand aufgeworfen. Vorteilhaft für den Kläger ist eine Klage im Inland, das Leitprinzip des Internationalen Zivilverfahrensrecht (actor sequitur forum rei) führt jedoch regelmäßig zu einem ausländischen Gerichtsstand am Wohnsitz des Beklagten. Von diesem Grundprinzip gibt es eine Reihe klägerfreundlicher Ausnahmen, die der folgende Beitrag auf Grundlage der EuGVO (= Brüssel I-VO) und unter Einbeziehung der aktuellen EuGH- und BGHJudikatur diskutiert.
