Resumen de Vorzeitige Wiederbestellung von Vorstandsmitgliedern: Gesetzesumgehung, Rechtsmissbrauch und intertemporale Organtreue auf dem Prüfstand

  According to § 84(1) Sentence 1 of the German Stock Corporation Act, the supervisory board shall appoint the members of the management board for a period not exceeding five years.

  Sentence 3 provides that the renewal of an appointment or the extension of a term of office requires a new supervisory board resolution, which may be adopted no more than one year prior to the expiration of the current term of office. Highly debated is the lawfulness of the following line of action: More than one year before their current term of office ends, the appointment of members of the management board is terminated by mutual consent and they are reappointed for a maximum of five years. The German Federal Court of Justice (BGH) recently decided that such a procedure does not constitute an improper circumvention of § 84(1) Sentence 3 of the German Stock Corporation Act but can in certain cases constitute an abuse of rights. The following article critically analyses the decision, explores the criteria for finding an abuse of rights and develops a new concept: the intertemporal fiduciary duty of company organs.

  Nach jahrelangen Debatten im Schrifttum hat die vorzeitige Wiederbestellung von Vor- standsmitgliedern nun erstmals den BGH beschäftigt (NZG 2012, 1027). Die mit der The- matik zusammenhängenden Problemfelder sind unterschiedlich gut erschlossen: Wie der vorliegende Beitrag aufzeigt, fußt die vom BGH ausgesprochene Verneinung einer Gesetzes- umgehung auf einer wohl fundierten Begründung. An der Oberfläche verhaftet bleiben hingegen – sowohl in Rechtsprechung als auch in Rechtslehre – die Stellungnahmen zu den Voraussetzungen für die Rechtsmissbräuchlichkeit einer vorzeitigen Wiederbestellung im Einzelfall. Aufbauend auf die allgemeine Rechtsmissbrauchsdogmatik spürt der vorliegende Beitrag den subjektiven/objektiven Voraussetzungen nach. Einen Schwerpunkt bildet dabei der Grundsatz der intertemporalen Organtreue, mit dessen Herleitung und Entfaltung der Beitrag Neuland betritt.
