The following article traces the legal development and current state of majority power and minority protection in partnership law, comments – critically to some extent – on the current legal practice of the Federal Court of Justice and puts it into its systematic context between construction of majority votes, protection of the core area of the membership and content control of the majority votes regarding the measure of the fiduciary duties. In contrary to some apprehensions, such a control – as long as the burden of proof is properly divided – doesn’t mean an overly restraint of legitimate majority power, as the article wants to show.
Furthermore, the article comments on a series of open detail questions.
Der nachfolgende Beitrag zeichnet Rechtsentwicklung und gegenwärtigen Stand zu den Themen Mehrheitsmacht und Minderheitenschutz im Personengesellschaftsrecht nach, nimmt zur aktuellen Rechtsprechung des BGH – teilweise kritisch – Stellung und ordnet diese ein in den systematischen Zusammenhang zwischen Auslegung einer Mehrheitsklausel, Schutz des Kernbereichs der Mitgliedschaft und Inhaltskontrolle von Mehrheitsbeschlüssen am Treupflichtmaßstab. Entgegen der mancherorts geäußerten Befürchtung bedeutet eine solche Kontrolle bei angemessener Verteilung der Darlegungs- und Beweislast keine über- mäßige Beschränkung legitimer Mehrheitsmacht, wie der Beitrag nachweisen möchte. Er nimmt außerdem zu einer Reihe offener Detailfragen Stellung.
