A European project for employee board-level representatives: issues, roles and responsibilities

    With the adoption of the Directive on employee involvement in the European Company (SE), the topic of employees' representation on the boards of companies has become an important element in the debate on employee participation. To study this issue, a European project is bringing together employee board-level representatives from ten Member States to exchange experiences and information, to identify issues of common concern, to learn from each other and to compare the different systems of employee involvement in place in the participating countries. The project is also addressing the challenge posed by changes in corporate governance and how the role and the responsibilities of employee board-level representatives, as company directors, are changing.

    This article outlines the objectives of the project, the progress to date and, in particular, the key concerns that have emerged from the work on the project to date.

    Avec l'adoption de la directive relative à la participation des travailleurs à la Société européenne (SE), le thème de la représentation des travailleurs au conseil d'administration des entreprises est devenu un élément important du débat sur la participation des travailleurs. Afin d'examiner cette question, un projet européen rassemble des représentants des travailleurs au niveau du conseil d'administration ou de surveillance de dix Etats membres en vue d'échanger des expériences et des informations, d'identifier des thèmes d'intérêt commun, d'apprendre de manière interactive et de comparer les différents systèmes de participation des travailleurs en place dans les pays participants. Le projet aborde également le défi posé par les changements de gouvernance des entreprises ainsi que les mutations qui interviennent dans le rôle et les responsabilités des représentants des travailleurs au niveau du conseil d'administration ou de surveillance, en tant que membres de la direction.

    Cet article décrit les objectifs du projet, les progrès réalisés jusqu'ici et, en particulier, les thèmes d'intérêts qui ont résulté du travail sur le projet mené jusqu'à ce jour.

    Durch die Annahme der Richtlinie über die Arbeitnehmerbeteiligung in der Europäischen Gesellschaft (SE) ist das Thema der Mitbestimmung in den höchsten Unternehmensorganen zu einem wichtigen Aspekt der Debatte über Mitbestimmung geworden. Im Rahmen eines europäischen Projekts kommen Arbeitnehmervertreter aus Verwaltungs- und Aufsichtsräten aus zehn Mitgliedstaaten zusammen, um Erfahrungen und Informationen auszutauschen, um gemeinsame Probleme zu identifizieren und voneinander zu lernen und um die verschiedenen, in den teilnehmenden Ländern bestehenden Mitbestimmungssysteme zu vergleichen. Das Projekt befasst sich auch mit den Herausforderungen im Zuge der sich wandelnden Strukturen der Corporate Governance und mit der Frage, wie sich die Rolle und die Aufgaben dieser Arbeitnehmervertreter in ihrer Eigenschaft als Mitglieder der Unternehmensleitung verändern.

    Der Autor beschreibt die Ziele des Projekts, die bisher erzielten Fortschritte und insbesondere die wichtigsten Anliegen, die bislang im Rahmen des Projekts heraus gearbeitetet wurden.
