    Los administradores sociales, sometidos al deber de lealtad y de diligencia, deben velar en todo momento por el interés de la sociedad, anteponiéndolo al interés propio y de terceros. El conflicto de intereses, tema central de este estudio, y en concreto las operaciones vinculadas, es una de las cuestiones más controvertidas del deber de lealtad, ya que el régimen previsto en la Ley de Sociedades de Capital no es claro. Además, es un tema muy casuístico y, por ello, es necesario analizar las circunstancias concretas de cada caso para determinar si hay un conflicto de intereses y si ha habido una infracción del deber de lealtad. Con el estudio de un elevado número de resoluciones de nuestros tribunales así como de un también elevado número de trabajos doctrinales se aporta un análisis crítico del régimen del deber de lealtad y nuestra posición ante algunas de las cuestiones más problemáticas

    Company directors, bound by the duty of loyalty and the duty of care, must at all times safeguard the company’s interests, placing them above their own interests and those of third parties. Conflicts of interest, the central theme of this study, and specifically related-party transactions, are one of the most controversial issues regarding the duty of loyalty, as the regime established in the Capital Companies Act is unclear. Furthermore, it is a highly case-specific issue, and therefore it is necessary to analyze the specific circumstances of each case to determine whether there is a conflict of interest and whether there has been a breach of the duty of loyalty. By analyzing a large number of court decisions, as well as an equally large number of papers, we provide a critical analysis of the regime of the duty of loyalty and our position on some of the most problematic issues
