The corporate transactions regulated by the so-called FEAC regime, established in the Corporate Tax Law, create a tax deferral system that prevents the immediate taxation of these transactions based on the income arising from the operations carried out. However, these transactions must be supported by valid economic reasons, the lack of which may lead to the regularization of the transaction and the imposition of the tax that would have been due, if applicable. The traditional regularization approach has, however, undergone a significant change following several rulings from the Central Economic-Administrative Court, specifically regarding non-cash contributions of shares to a holding company. This change defers taxation until the operating companies distribute dividends to the holding company, attributing the income directly to the individual shareholders who made the contribution of the shares or equity interests
