Juntas clandestinas y nulidad de acuerdos sociales

    La junta clandestina, reflejo de un conflicto societario, es aquella que se convoca con la intención de que algún o algunos socios no tengan conocimiento de la misma, por haber un cambio sorpresivo en la forma de la convocatoria, por haberse convocado durante el mes de agosto o bien haber dirigido la convocatoria a un domicilio que no es el real del socio. El elevado número de resoluciones de nuestros tribunales analizadas permite afirmar que la finalidad principal de estas juntas es adoptar un acuerdo de cese de administradores o bien de ampliación de capital. A pesar de que las juntas han sido correctamente convocadas, es posible impugnar los acuerdos sociales adoptados en esas juntas por vulneración de la ley, en concreto por abuso de derecho o fraude de ley.

    The clandestine meeting, a reflection of a corporate conflict, is one that is called with the intention that one or more partners do not have knowledge of it, because there is a surprising change in the form of the call, because it was called during the month of August or having directed the call to an address that is not the partner’s real address. The high number of resolutions of our courts analyzed allows us to affirm that the main purpose of these meetings is to adopt an agreement to dismiss directors or to increase capital. Even though the meetings have been correctly called, it is possible to challenge the social agreements adopted at those meetings for violation of the law, specifically for abuse of rights or fraud of law.
