Sabe-se que o ordenamento jurídico brasileiro não admite a constituição de sociedades de responsabilidade limitada com apenas um sócio e, em caso de unipessoalidade superveniente, tal fato deve ser sanado, sob pena de sua dissolução. Há, entretanto, vários países, sobretudo europeus, que admitem a constituição de sociedades com apenas um sócio e, conseqüentemente, a legalidade da unipessoalidade superveniente. O objetivo com este artigo é comparar os argumentos sob os quais os diferentes ordenamentos admitem tal espécie jurídica e estudar os mecanismos colocados na legislação que permitem diminuir os riscos a que terceiros e sociedade em si estão expostos em decorrência da existência de tal tipo de sociedade.

It is known that the Brazilian legal system doe not permit the creation of limited liability companies composed of a single partner, and in the event of supervening singular ownership, this situation must be remedied, under penalty of dissolution.
There are, however, several countries, above all in Europe, that allow the creation of companies with only one partner, and consequently, allow supervening singular ownership. The objective of this article is to compare the arguments under which different legal systems allow this legal construction and to study the mechanisms inserted in the law that make it possible to reduce the risks to which third parties and the company itself are exposed as a result of the existence of this type of company.
