La tokenización inmobiliaria: articulación en el Derecho de Contratos y particular relevancia del sistema registral español

    Este estudio versa sobre el fenómeno de la tokenización de activos inmobiliarios, esto es, la representación digital de un derecho real y directo sobre un activo físico concreto mediante el token para que sea objeto de circulación en una plataforma con tecnología DLT/blockchain. La transmisión del derecho real se produce mediante un smart (legal) contract, que autoejecuta acuerdos preestablecidos a través de la cadena de bloques. Atendiendo a la particular naturaleza de estos derechos, se analiza la posible implementación y utilidad del protocolo blockchain en el Registro de la Propiedad, teniendo muy presentes los principios de legalidad, prioridad y fe pública registral; coligiendo que la simbiosis entre la tokenización y el sistema registral supondría un beneficio mutuo en sede de activos inmobiliarios, pero sin olvidar el rol fundamental del Registro de la Propiedad, que garantiza plenamente la protección del titular registral ante cualquier perturbación de su derecho.

    This study deals with the phenomenon of real estate assets tokenization, namely, the digital representation of a direct real right over a specific physical asset through the token so that it can be circulated on a platform with DLT/blockchain technology. The transmission of the real right occurs via a smart (legal) contract, which self-executes pre-established agreements through the blockchain. Taking into account the particular legal nature of these rights, the possible implementation and usefulness of blockchain protocol in the Spanish Property Registry is analysed, bearing in mind the principles of legality, priority and public registry trust; concluding that the symbiosis between tokenization and the Spanish registry system would be mutually beneficial for real estate assets, but without forgetting the fundamental role of the Property Registry, which fully guarantees the protection of the registry holder against any disturbance of their rights.
