    La sentencia de la Audiencia Provincial de Cantabria de 16 de septiembre de 2021 estima el recurso de apelación interpuesto contra la sentencia del Juzgado de lo Mercantil n.o 1 de Santander de 30 de septiembre de 2019, que revoca y deja sin efecto, al apreciar la falta de legitimación pasiva planteada por el demandado/apelante. El autor del comentario discrepa de los argumentos esgrimidos y reflexiona sobre diversas cuestiones desde la perspectiva del Derecho internacional privado: (i) la ley aplicable a la legitimación; (ii) la ley aplicable a la representación voluntaria; (iii) la ley aplicable al convenio arbitral; (iv) la extensión subjetiva del convenio arbitral; y (v) los efectos del concurso sobre el convenio arbitral.

    The Judgment of the Provincial Court of Cantabria of September 16th, 2021 revokes the judgment of the Commercial Court No. 1 of Santander of September 30, 2019, when assessing the lack of standing raised by the defendant / appellant. The author of the comment disagrees with the arguments put forward and reflects on various issues from the perspective of Private international law: (i) the law applicable to standing; (ii) the law applicable to agency; (iii) the law applicable to the arbitration agreement; (iv) the subjective extension of the arbitration agreement; and (v) the effects of the insolvency proceeding on the arbitration agreement.
