Resumen de Los acuerdos adoptados con abuso de mayoría en perjuicio de los socios minoritarios: caracterización y casuística

Este artículo analiza los antecedentes, objeto y alcance de la nueva norma sobre la impugnación de los acuerdos de la junta general aprobadas con abuso de la mayoría en perjuicio de la minoría (artículo 204.1, segundo párrafo). También expone los casos más representativos en la aplicación judicial de la nueva norma. Todo ello permite observar la necesidad de limitar racionalmente el control judicial de las decisiones de la mayoría, que no dañan el interés social, sino que revelan diferentes intereses entre los miembros de acuerdo con sus expectativas en la sociedad.

This article analyzes the background, object and scope of the new rule on the challenge of the resolutions of the general assembly approved with abuse of the majority to the detriment of the minority (article 204.1, second paragraph). It also exposes the most representative cases to which the courts are applying the rule. All this makes it possible to observe the need to rationally limit the judicial control of the decisions of the majority, which do not harm the social interest, but reveal different interests among the members according to their expectations in company.
