La figura del «experto independiente» y la elaboración del informe ha sido pieza básica para dar seguridad y confianza en el ámbito de los acuerdos de refinanciación. Ha sido un instrumento de garantía para las negociaciones de los agentes económicos que en estos acuerdos participaban. Su informe ha cumplido con una función informadora, mediadora e instructora, siendo el único encargado de evaluar el contenido del acuerdo de refinanciación. Ahora bien, con la última modificación legislativa ha desaparecido el experto independiente y su informe y se ha aparecido la figura del auditor de cuentas, limitando su función únicamente a la emisión de una «certificación sobre la suficiencia del pasivo que se exige para adoptar el acuerdo». A mi entender, ¿por qué este paso atrás? ¿cuál ha sido la razón para mermar las garantías en las negociaciones de los acuerdos de refinanciación?
The figure of the «independent expert» and the preparation of the report has been the basic piece to give security and confidence in the refinancing agreements scope. It has been a guarantee instrument for the economic agents negotiations that participated in these agreements. The report has been fulfilled with an informative, mediatory and instructor function, being the only one in charge of evaluating the content of the refinancing agreement. However, with the last legislative amendment, the independent expert and his report have disappeared and the figure of the accounts auditor has appeared, limiting his function to the issuance of a «certification on the application of the liability he requires to adopt the agreement». As far as I know, why this step back? What has been the reason to reduce the negotiations guarantees in the refinancing agreements?
