A la junta general le corresponde pronunciarse sobre el informe anual de remuneraciones, si bien la votación es consultiva. Si la junta general vota en contra, la política de remuneraciones ha de cambiarse, pero no provocará efectos jurídicos en el contenido del documento objeto de consulta. Así, el mantenimiento de la remuneración concedida durante el último ejercicio a cada consejero es lícito, aun contra la opinión de la junta general. En virtud de la previsión comunitaria propuesta, únicamente deben introducirse los cambios necesarios en el siguiente informe, teniendo en cuenta los puntos de vista de los accionistas. Mantener la remuneración es lícito, aun con la opinión contraria de la junta, pero ello significa una pérdida de confianza y de apoyo de la mayoría del capital. Ello debe llevar a la adopción de determinadas medidas revisoras de dicho comportamiento, en particular, la devolución de la remuneración desautorizada.

The general meeting is responsible for deciding on the annual remunerations report, although the voting is advisory. If the general meeting votes against, the remuneration policy has to be changed, but it will not have legal effects on the content of the document to be consulted. Thus, maintenance of the remuneration granted during the last year to each director is lawful, even against the opinion of the general meeting. Under the proposed Community provision, only should be made the necessary changes to the following report, taking into account the views of the shareholders. Maintaining the remuneration is lawful, even with the contrary opinion of the general meeting, but this means a loss of confidence and of support of the majority of the capital. This should lead to the adoption of certain measures to review such behavior, in particular, the return of the unauthorized remuneration.
