    German Corporate Law has traditionally been based on rather academic approaches such as the doctrine of „Mitgliedschaft“ (membership). In spite of their theoretical basis, these approaches have been practically effective both in legislation and case law. Today, however, the fruitfulness of the „Mitgliedschaft“- based doctrine in corporate law is doubted; the concept competes with capital market law which is increasingly gaining in importance. This essay recalls an academic speech of Prof. Marcus Lutter and takes a retrospective look at over 30 years of achievements of the „Mitgliedschaft“ approach with regard to, among others, questions of corporate groups, minority protection, and piercing the corporate veil. It reveals that this discussion has not yet come to an end. In addition the essay attempts to assess the prospects for future aims of the „Mitgliedschaft“ approach beyond the traditional range of corporate law. The academic attempt is to show that a method which seems to have served well in the past may still be useful for future research work in company law – sometimes perhaps in unconventional or even surprising areas.

    Der Beitrag untersucht die Wirkungsgeschichte „mitgliedschaftlichen“ Denkens seit Marcus Lutters vor 30 Jahren publiziertem Zivilrechtslehrervortrag über das Recht der Mitgliedschaft (AcP 180, 84 ff) und gibt Ausblicke auf noch ungetane Forschungsarbeit. Es erweist sich, dass die Rechtsfigur der Mitgliedschaft an systembildender und rechtspolitischer Schlagkraft auch in der Nachbarschaft kapitalmarktsrechtlicher Forschung noch nicht eingebüßt hat, vielmehr noch neue Einsichten zulässt und in neue, unkonventionelle Bereiche hineinreicht.
