Resumen de El reto de la implantación de los PDC en materia antitrust en España

A pesar de su origen relativamente reciente, los llamados Programas de Cumplimiento gozan ya de cierta tradición en los países de nuestro entorno. La positiva evolución experimentada por el Gobierno Corporativo en España y la importancia que en el futuro van a tener los Programas de cumplimiento tras la reforma del Código Penal de 2015, ofrece la oportunidad de promover que los PDC que vayan a elaborar las empresas españolas incluyan también las infracciones a la normativa de competencia. Este nuevo enfoque será positive, no solo para prevenir las infracciones antitrust y la posible responsabilidad de las empresas y sus administradores, sino también para promover buenas prácticas en materia de competencia, en beneficio de las empresas y los consumidores. Con este propósito, en el presente trabajo analizamos la importancia de los PDC Antitrust en Estados Unidos y la Unión Europea, proponiendo que las empresas españolas y sus directivos conozcan las ventajas de este instrumento para la gestión de sus riesgos corporativos en materia antitrust.

Despite its relatively recent origin, the Compliance Programs already enjoy certain tradition in neighboring countries. The positive evolution of the Corporate Governance in Spain and the importance that the compliance programs will acquire in the future in Spain after the reform of the Spanish Penal Code of 2015, provides an excellent opportunity to promote that the implementation of Compliance Programs by the Spanish enterprises take care of antitrust infringements too. This new approach will be positive, not only to prevent antitrust violations and the possible responsibility of the companies and their managers, but also to promote good practices in the field of competition, to the benefit of businesses and consumers.For this reason, in this paper we analyze the importance of the Antitrust Compliance Programs in the United States and the European Union, proposing that the Spanish companies and their managers know the advantages of this tool for managing corporate risks in antitrust matters.
