Resumen de Algunas reflexiones en torno a la naturaleza de las fundaciones como personas jurídicas

El conocido fenómeno de proliferación de las fundaciones en nuestro ámbito jurídico conduce a una reflexión importante sobre su naturaleza jurídica que enlaza directamente con la desconfianza social que ha generado la institución. La concepción constitucional de este tipo de personas jurídicas (art. 34.1 CE) conlleva la existencia de un «núcleo esencial» caracterizador que se debe respetar tanto por el propio legislador (art. 53.1 CE) como por los actores implicados en el sector fundacional. Sin embargo, en la práctica se ha producido una instrumentalización de las fundaciones motivada bien por la actuación del legislador, que ha dado lugar a una utilización excesiva de la forma jurídica fundacional mediante la creación de tipologías específicas de fundaciones que no se corresponden con dicho núcleo esencial caracterizador, o bien como consecuencia de la desnaturalización de los fines de interés general que deben satisfacer estos entes por determinados tipos de fundaciones. Sobre esta base, se pretende realizar algunas reflexiones que pongan en evidencia tal instrumentalización que se ha producido de la persona jurídica tipo fundación y la consecuente confusión a propósito de su naturaleza desde la perspectiva de sus elementos básicos configuradores.

The well-known phenomenon of the proliferation of foun dations in our legal field leads to an important reflection on their legal nature that is directly linked to the social mistrust that the institution has generated. The constitutional conception of this type of legal persons (art. 34.1 CE) entails the existence of an essential characterizing core that must be respected both by the legislator himself (art. 53.1 CE) and by the actors involved in the founding sector. However, in practice there has been an instrumentalization of foundations motivated either by the action of the legislator, which has led to an exces sive use of the founding legal form through the creation of specific types of foundations that do not correspond to said nucleus essential characterizer, or as a consequence of the denaturing of the aims of general interest that these entities must satisfy for certain types of foundations. On this base, it’s intended to carry out some reflections that highlight such instrumentalization that has occurred of the foundation-type legal person and the consequent confusion regarding its nature from the perspective of its basic configuring elements.
